1. Acceptance of Terms

By accessing or using Cipher's services, APIs, or platform ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. We may update these Terms from time to time, and your continued use of the Services constitutes acceptance of those changes.

2. Description of Services

Cipher provides institutional-grade trading infrastructure including but not limited to:

Order Execution Management System (OEMS)
Portfolio Management System (PMS)
Strategy Studio for algorithmic trading
Market data and analytics services
APIs and connectivity solutions

The Services are provided for professional and institutional use only and are not intended for retail consumers.

3. Eligibility

The Services are available only to:

Institutional investors and qualified professional traders
Entities that are properly licensed and authorized in their jurisdiction
Users who are at least 18 years of age
Users who can form legally binding contracts under applicable law

4. Account Registration

To use certain Services, you must register for an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security and confidentiality of your credentials
Accept responsibility for all activities under your account
Immediately notify us of any unauthorized use

5. Use of Services

5.1 Permitted Use

You may use the Services solely for lawful purposes and in accordance with these Terms. You agree to comply with all applicable laws, regulations, and industry standards.

5.2 Prohibited Use

You agree not to:

Use the Services for any illegal or unauthorized purpose
Engage in market manipulation or fraudulent trading activities
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Services or servers
Reverse engineer or attempt to extract source code
Resell or redistribute the Services without authorization

6. Fees and Payment

Certain Services require payment of fees. You agree to pay all applicable fees as described in your service agreement. Fees are non-refundable except as required by law or as explicitly stated in your service agreement.

7. Proprietary Rights

The Services, including all content, features, and functionality, are owned by Cipher and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services subject to these Terms.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CIPHER DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Trading digital assets involves substantial risk of loss and is not suitable for all investors. Past performance is not indicative of future results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIPHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cipher and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cipher is incorporated, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration.
